Terms, Conditions, & Policies

PLEASE READ ALL CONTENT CAREFULLY AND ENTIRELY.  BY AND UPON JOINING THE COHOS SERVICE NETWORK; USING; ACCESSING; DOWNLOADING; OR USING ANY SAWLUTIONS, COHOS, SAW GROUP, SUPERB CURB, OR OTHER AFFILIATED SITES, APPS, SERVICES, OR PLATFORMS, YOU AGREE TO BECOME BOUND BY THESE TERMS, CONDITIONS, AND POLICIES.  IF YOU DO NOT AGREE TO ALL THE TERMS, CONDITIONS, AND POLICIES, THEN YOU MAY NOT JOIN; ACCESS; OR USE THE SITES, PLATFORMS, OR SERVICES.

Your access to and use of the CoHoS Service Network and "SawLutions" (as detailed below) is conditioned on your acceptance of and compliance with these Terms.  If you disagree with any part of the terms then you may not join; access; provide service; or use SawLutions "Platform" (as detailed below) owned, operated, managed, or affiliated with "SawLutions".

These Terms apply to all CoHoS Service Network Contractors and any workers, employees, sub-contractors, partners, agents, representatives, and others the Contractor may use to provide Services.

SawLutions reserves the right to modify any of these terms, at any time, at its sole discretion, effective immediately upon posting modified terms with or without notification.  YOU ARE SOLELY RESPONSIBLE FOR REGULARLY REVIEWING INFORMATION AND POLICIES.  YOUR CONTINUED USE OF SAWLUTIONS PLATFORMS OR COHOS SERVICE NETWORK AFTER SAID POSTING MEANS YOU ACCEPT AND AGREE TO BE BOUND BY THE MODIFIED TERMS.  

Overview

  • By using SawLutions or SawLutions Platform, you agree to SawLutions policies, procedures, terms, conditions, and agreements. 

  • ​

  • SawLutions is not a contractor or specialty contractor for licensed trades or services.  SawLutions is a third-party network service, that connects members that want services with contractors, specialty licensed contractors, and licensed contractors.

  • ​

  • Service Agreements are between members requesting services and contractors who provide the services.

  • ​

  • You release SawLutions of all liability.  See Release and Waiver of Liability.

  • ​

  • You Authorize SawLutions to request, order, or obtain reports and verification of your background and business.  See Background Authorization, Disclosure, & Declaration.

  • ​

  • Before and after videos must be submitted for proof of services rendered correctly.  See Contractor Entry & Exit Video Policy.

  • ​

  • Any member complaints of services or providers will be reviewed and mediated by SawLutions. See Complaint & Investigation Policies & Procedures.

CoHoS User Agreement

How We Operate

SawLutions LLC, Saw Group, Superb Curb, CoHoS, and other subsidiaries, franchisees, or partners of SawLutions LLC (collectively, "SawLutions") allows members, clients, customers, and businesses (collectively, the "Members") to request various services ("Services") through SawLutions, SawLutions representatives, www.sawlutionsllc.com, www.sawgroup.services, www.sawlutionsservices.com, mobile application/s, social media platform/s, web-based systems, operating systems and other related SawLutions platforms (collectively, "Platforms").  

Based on Member's service needs, terms, the scope of work, schedule requirements, terms, availability, and project requirements (the "Member Requirements"), SawLutions relays Member's Requirements, specifications, pay, general location, work to be performed, and project information (collectively, the "Project") through Platforms, email, phone, text, and other communication methods (collectively, "CoHoS Platforms") to the appropriate general contractor, independent contractor, sub-contractor, service provider, company, business, or experienced person (collectively, "Contractor") who provides said Services to complete Member Projects. 

A Contractor may choose to accept or decline a Project.  When a Project is accepted, the Contractor agrees to perform the Project Services as described to Member satisfaction, in accordance with this CoHoS User Agreement and SawLutions policies, while meeting industry standards, CoHoS Service Network standards, and Code of Ethics.  The Contractor will submit entry and exit video/ photos and other proof of services rendered and documentation, then the Contractor will be paid directly by SawLutions once the Services provided are  satisfactory and the Project is complete.

Use of Site, Platforms, & Services & Information

SawLutions grants authorized users a nonexclusive and  nontransferable access to CoHoS Service Network through SawLutions Platforms that is dependent on Contractors complete compliance with these terms, that may be terminated at the sole discretion of SawLutions. You agree to not access, reproduce, duplicate, copy, sell, re-sell, modify, distribute, transmit, or otherwise exploit the Platforms, business model, or any  content for any purpose except for your personal use and as described in SawLutions terms, without the express written consent of SawLutions.  SawLutions may modify, update, suspend or discontinue Platforms, services, or use of the Contractor, in whole or in part, at SawLutions sole discretion for any or no reason, at any time and with or without notice. Sawlutions shall not be liable to any user or other third party for any such modification, update, suspension or discontinuance.  Contractor approval to use said Platforms or services is not a guarantee of continued use of the Platforms and services or a guarantee to provide services, leads, Projects, or work to the Contractor.

When using, accessing, or marketing Platforms, features, memberships, or services of SawLutions, the Contractor shall be subject to any posted agreements, terms, guidelines, or rules applicable that may be posted or communicated from time to time. All such agreements, guidelines, or rules are hereby incorporated by reference into the Terms of Use and Conditions.

Registration and Verification

Contractors may be required to create and maintain an account to use or access certain parts or features of the Platforms.  Contractors are solely responsible for maintaining the account and keeping current and accurate information updated. 

As a condition of your use of SawLutions Platforms and services, you agree to

(a) provide true, accurate, current and complete information as prompted by SawLutions registration, application, review, evaluation and any other forms, when registering for or using Platforms and services; and

(b) update and maintain the truthfulness, accuracy and completeness of such information. You are responsible for maintaining the confidentiality of any password or other account information not generally available to others and are fully responsible for all activities that occur under your username and password. Multiple accounts are prohibited, unless expressly written approval by SawLutions is obtained.  Having multiple accounts may result in account termination. Please contact us if you have questions or requests about managing multiple accounts.

SawLutions requires verification and approval, prior to a Contractor joining CoHoS Service Network or creating an account on SawLutions Platforms.  The verification process varies based on the Contractor type and Contractor services offered.  The verification process and information required is on a case by case bases and may include, but is not limited to: Contractors business EIN; individual legal name/s; phone number, address, email, social profiles, website, date of birth, social security number or equivalent, driver's license and other contact or identifying information; registered agent information; Dun & Bradstreet number; general liability insurance; workers compensation insurance or equivalent; error & omissions insurance; other insurance documentation; state licensing documentation; specialty licensing documentation; additional local, state, or federal documentation or licensing; current or past tax information; banking information for payment purposes; services offered; service areas; referrals; project showcase; or other information pertaining to the Contractor, the Contractors work, or character.  Approval of verification and continued use of SawLutions Platforms is at the sole discretion of SawLutions.  SawLutions may evaluate, access, or review information and work performed by the Contractor, at any time, to consider approval, verification, or status of the Contractors use of SawLutions Platform. 

Submitting Content and Content Use

As a condition of submitting any documentation, files, information, photos, videos, or other materials (collectively, "Content") to Platforms or SawLutions, you agree that:
(a) Contractor grants SawLutions rights to use; copy; reproduce; adapt; modify; license or sublicense; publish;  distribute or display to Members, internally, or publicly; create content or works from; or incorporate said Content into other works.  This is irrevocable, perpetual, nonexclusive, and transferable interminably. 

(b) Contractor grants SawLutions all rights necessary to publish or withhold from publication, Contractors information, in relation to said Content; sublicense Content; or other use of said Content.

(c) Contractor acknowledges and agrees once Content is submitted to SawLutions through Platforms or other means, this license cannot be terminated by Contractor.

(d) Contractor grants SawLutions all rights necessary to prohibit the subsequent aggregation, display, copying, duplication, reproduction, distribution, or exploitation of your Content by any other party; Contractor information, reports, and Content may be made available to the public and may be shared with Members or parties the Contractor may report to; the Contractor agrees and represents the Contractor owns or has all legal rights necessary of content submitted to or through Platforms to be used or shared by SawLutions, or others as described in CoHoS Service Network Terms, Conditions, and Policies; the Contractor represents and warrants any person, party, or individual shown, identified, or depicted in Content, if any, has provided consent or permission (parent or guardian consent for minors) to use the Content submitted or shared; Contractor shall not share Content of SawLutions or SawLutions' Members outside of SawLutions or SawLutions Platforms without written Consent of SawLutions.

(e) Contractor is solely responsible for the reviews and ratings of the Contractor; Contractor will not submit or share any information, reviews or ratings in any capacity that may be considered by SawLutions to be harassing, libelous, infringing, abusive, threatening, obscene, profane, hateful, offensive, harmful, distasteful, vulgar, defamatory, or otherwise violates CoHoS Service Network Terms, Conditions, and Policies, any laws or rights of SawLutions, or SawLutions' Members, or any other party, including but not limited to race, ethnicity, or an otherwise objectionable manner; all Contractor

 reviews and ratings of Members or other Contractors will be based upon Contractor first-hand experiences and will be accurate, honest, truthful, and complete in all respects; Contractor may not receive any form of compensation to influence or enhance reviews and ratings; Contractor may not review or rate competitor Contractors; reviews and ratings provided on or through Platforms, SawLutions, or Members do not reflect the views of SawLutions and SawLutions is not responsible or liable in any means for content or other users.

Content Publication and Distribution

SawLutions does not guarantee the accuracy, integrity, quality or appropriateness of any Content transmitted to or through Platforms. Contractor acknowledges SawLutions acts as a passive conduit and an interactive computer service provider for the communication, publication and distribution of Content and for the publication and distribution of any content posted by Contractors or Members in response to Content or services. Contractor acknowledges Content posted on, transmitted through or linked through SawLutions or Platforms, are the sole responsibility of the person from such Content originated. Contractor acknowledges and agrees Contractor must evaluate and make Contractors own judgment, and bear all risks associated with, the use of any Content. Contractor acknowledges Sawlutions has no obligation to screen, preview, monitor or approve any Content or shared, posted or submitted by any Member or Contractor. However, SawLutions reserves the right to review and delete any Content on Platforms that, in its sole judgment, violates the terms and conditions of this Agreement. By using Platforms and SawLutions, Contractor agrees it is solely Contractors responsibility to evaluate risks to bear associated with the use, accuracy, usefulness, completeness or appropriateness of any Content submitted, received, accessed, transmitted or otherwise conveyed through Platforms or SawLutions. Under no circumstances will SawLutions be liable in any way for any Content, including, but not limited to, any Content or Content that contains any errors, omissions, defamatory statements, or confidential or private information or for any loss or damage of any kind incurred as a result of the use of any Content. Contractor waives the right to bring or assert any claim against SawLutions relating to Content, and release SawLutions from any and all liability for or relating to any Content.
Contractor may report Content believed to violate these Terms or is otherwise unlawful by contacting us at legal@saawlutionsllc.com. Please note that you may be liable for damages (including costs and attorneys’ fees) for unlawful misrepresentations. 
Contractor agrees SawLutions may establish general practices, policies and limits, which may or may not be published, concerning the use of the Platforms and SawLutions services, including without limitation. Contractor agrees SawLutions has no responsibility or liability for the deletion or failure to store any Content or other materials maintained or transmitted by or through the Platforms and SawLutions Services. Contractor agrees SawLutions has the right to change these general practices and limits at any time, in its sole discretion, with or without notice.

Contractors and Promotions

Contractor participation in promotions of any service is at the sole discretion of the Contractor.  If Contractor creates a promotion, Contractor is solely responsible for completing the service at the promotion value, or compensating the difference in the original value and the promotion value to compensate the Member and allow another Contractor to complete the service.
Without limiting the foregoing, Contractor correspondence or business dealings with, consumption of products or services of, or participation in promotions of, third parties or Members found on or through the use of the Platforms, including payment for and delivery or fulfillment of related goods or services, and any other terms, conditions, warranties, or representations associated with such dealings, are solely the responsibility of the Contractor. Contractor agrees SawLutions or Members shall not be responsible or liable, directly or indirectly, for any loss or damage of any sort incurred as the result of any such dealings.

SawLutions does not endorse and is not responsible or liable for any Content, information, goods or services available or unavailable from, or through, Platforms or any third party or Contractors. Contractor agrees SawLutions is not responsible or liable, indirectly or directly, for any damage or loss caused or alleged to be caused by or in connection with such use or reliance on Content, information, goods, or services.

Termination

SawLutions may terminate your privilege to use or access Platforms and services immediately and without notice for any reason whatsoever. Upon such termination, you must immediately cease accessing or using the Platforms and services and agree not to communicate, access or make use of, or attempt to use, Platforms, services or Members, . Furthermore, you acknowledge that SawLutions reserves the right to take action -- technical, legal or otherwise -- to block, nullify or deny your ability to access the Platforms and services. Contractor understands SawLutions may exercise this right in its sole discretion, and this right shall be in addition to and not in substitution for any other rights and remedies available to SawLutions.
All provisions of these CoHoS Service Network Terms, Conditions, and Policies, which by their nature should survive termination shall survive the termination of Contractor access to Platforms and services, including, without limitation, provision regarding ownership, warranty disclaimers, indemnity, and limitations of liability.

Trademarks and Copyrights

SawLutions, and other Platforms and services graphics, logos, designs, page headers, button icons, scripts, and service names are the trademarks or trade dress of SawLutions in the U.S. and/or other countries. These trademarks and trade dress may not be used, including as part of trademarks and/or as part of domain names, keyword advertisements, or email addresses, or in connection with any product or service in any manner that is likely to cause confusion.
Contractor should assume all Content and material made available on the Platforms and services is protectted by copyright law. Aside from user-submitted Content, all other materials and other information on the Platforms and services, including, but not limited to, all text, graphics, logos, icons, images, audio and video clips, downloads, data compilations and software are the exclusive property of SawLutions and/or its licensors and are protected by all United States and international copyright laws.

Notices

Contractor agrees SawLutions may communicate any notices to Contractor under these CoHoS Service Network Terms, Conditions, and Policies, through text, call, electronic mail, regular mail or posting the notices on Platforms. All notices to SawLutions must be provided by sending a letter, first class certified mail, to SawLutions LLC, 7901 4th St. N. STE 300 St. Petersburg, FL 33702.

Accessibility 

Platforms and services may be subject to limitations, delays, failure, and other problems inherent in the use of the Internet and electronic communications. SawLutions is not responsible for any delays, failures or other damage resulting from such problems.

Suggestions

SawLutions appreciates feedback and welcomes your comments regarding our Platforms and services. Please be advised, however, that SawLutions policy does not permit SawLutions to accept or consider creative ideas, suggestions, or materials other than those which have been specifically requested. Although SawLutions values  feedback on Platforms and services, please be specific in comments regarding services and do not submit creative ideas, suggestions or materials. If, despite SawLutions request, Contractor sends SawLutions creative suggestions, ideas, drawings, concepts or other information (collectively, the “Suggestions”), such Suggestions will be the property of SawLutions. In addition, none of the Suggestions will be subject to any obligations of confidentiality and SawLutions will not be liable for any future use or disclosure of such Suggestions.

Breach of Terms

Contractor understands that the content or information in each report or record or Member on Platforms or SawLutions has significant value to SawLutions and that the damage caused to SawLutions for any violation of these CoHoS Service Network Terms, Conditions, and Policies pertaining to a report or record or a Member will be difficult to accurately estimate. Thus, Contractor shall be liable to pay SawLutions the following amounts as liquidated damages, and Contractor agrees that the liquidated damages are a reasonable estimate of SawLutions' damages for the specified breaches of these Terms of Use:
If Contractor is untruthful or submits or posts Content in violation of these Terms, Contractor agrees to promptly pay SawLutions One Thousand Dollars ($1,000) for each item of Content posted in violation of these Terms. SawLutions may (but shall not be required to) to issue you a warning before assessing damages.
If Contractor displays, copies, duplicates, reproduces, sells, re-sells or exploits for any purpose any Content in violation of these Terms, Contractor agrees to pay One Thousand Dollars ($1,000) for each record or report that Contractor displayed, copied, duplicated, reproduced, sold, re-sold or exploited for any purpose.

If Contractor violates Confidentiality and Non-Competition Covenant of Service Agreement, Contractor agrees to pay Fifty Thousand Dollars ($50,000) per occurrence, forfeit and pay to SawLutions any benefits or profits received by such an act.
Except as set forth in the foregoing subparagraphs (a) through (c), inclusive, Contractor agrees to pay the actual damages suffered by SawLutions, including, but not limited to attorneys’ fees and court costs, to the extent such actual damages can be reasonably calculated. Notwithstanding any other provision of CoHoS Service Network Terms, Conditions, and Policies, SawLutions reserves the right to seek the remedy of specific performance of any term contained herein, or a preliminary or permanent injunction against the breach of any such term or in aid of the exercise of any power granted in these CoHoS Service Network Terms, Co
nditions, and Policies, or any combination thereof.

Disclaimers, Warranties, Indemnity and Liability

Contractor acknowledges SawLutions has no control over, and no duty to take any action regarding: which users gain access to or use Platforms and services; what effects the content on or in connection with Platforms and services may have on you; how you may interpret or use the content on or in connection with Platforms and services; or what actions you may take as a result of having been exposed to the content on or in connection with Platforms and services. Contractor releases SawLutions from all liability for you having acquired or not acquired content, jobs, or information through Platforms and services. Platforms and services may contain, or direct you to sites containing, information that some may find offensive or inappropriate. SawLutions makes no representations concerning any content contained in or accessed through Platforms and services, and SawLutions will not be responsible or liable for the accuracy, copyright compliance, legality or decency of material contained in or accessed through the Platforms and services. SawLutions makes no guarantee or warranty, express or implied, as to the reliability, accuracy, timeliness or completeness of that information and assumes no responsibility for any errors or omissions therein.

Contractor accesses and uses Platforms and services at Contractors own risk.  Platforms and services are provided on an "as is, as available" basis without warranty of any kind.  Neither SawLutions, Members, or any third party affiliates shall be liable for any loss from use or unavailability of information or content on or in connection with Platforms and services, including but not limited to, lost profits, loss or damages of any kind whatsoever, or any direct, indirect, special, consequential, compensatory, or incidental damages.  This disclaimer is applicable to any damage or injury resulting from negligence or omission of SawLutions, computer virus or the like, communication errors, or unauthorized access to, or use of user information through theft or any other means. SawLutions is not liable for criminal or neglect actions or omissions of third parties that affect the Platforms and services. In no event will SawLutions or third part affiliates be held liable for any illegal conduct or content of users.  In no event will SawLutions or third part affiliates be held liable for any damage to equipment, hardware, or other property of Contractor, Member, or user or personal injury that arises in connection with use of Platforms and services.  No advice o information, whether written or oral, obtained by Contractor from or through SawLutions or Platforms or services shall create any warranty not expressly stated in the terms.

SawLutions has no control over and no duty to take any action regarding: other users’ behavior; what effects Content may have on Contractor; how Contractor may interpret or use Content; or what actions Contractor may take as a result of having been exposed to Content. Contractor releases SawLutions from all liability for you having acquired or not acquired Content through the Platforms and services. SawLutions makes no representations concerning any Content, including the accuracy thereof, contained in or accessed through the Platforms and services, and SawLutions will not be responsible or liable for the accuracy, copyright compliance, legality or decency of material contained in or accessed through the Platforms and services.
Contractor further acknowledges and agrees SawLutions shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such Platform, service, or resource.

 

Contractor agrees to indemnify, defend and hold harmless SawLutions, its Members, and third party affiliates from and against all losses, liabilities, expenses, damages, claims, demands and costs, including reasonable attorneys’ fees and court costs due to or arising from: (a) any violation of these CoHoS Service Network Terms, Conditions, and Policies by Contractor; (b) the inaccurate or untruthful Content or other information provided by Contractor to SawLutions or Members or that you submit, transmit or otherwise make available through the Platforms or service; or (c) any intentional or willful violation of any rights of another or harm you may have caused to another. SawLutions will have sole control of the defense of any such damage or claim.

Contractor Entry & Exit Video Policy

Entry & Exit Video/Photos

Required As Proof of Service Provided

Entry/ Exit Videos are mutually beneficial to the Contractors, Members, and SawLutions.  This ensures documentation of property conditions prior and post work, the work provided, and any damage claims that may occur.  For your protection, it is recommended to be as thorough as possible with said documentation.

 

All Members are made aware of Entry/Exit videos prior to servicing their property.  All videos must be of quality to be considered as an Entry or Exit Video.

All Entry videos must include the condition of the property upon arrival and details of where the work will be performed.  

​

All Exit videos must include the condition of the property upon vacating the premises and must detail all the work done, the services provided, and show everything that was included on the scope of work.

  

WHAT TO INCLUDE FOR BEST RESULTS:
•    Make sure lights are on.
•    Use your camera in landscape mode and zoom out.
•    Zoom in and out, when needed to show detail or span the room.
•    Scan work area fully in the video and slow enough that everything can be viewed.

The Contractor may have additional supplemental photos or videos to show greater detail or something that may have been overlooked on the Entry video.  

​

The Contractor agrees to submit an Entry Video and an Exit Video to prove services were provided, prior to being paid for services rendered.  SawLutions may withhold job pay, if the Contractor does not submit an Entry Video and an Exit Video for said job.
 

Any Member complaint will result in an investigation into the matter.  Please see Complaint and Investigation Policies and Procedures for more information.

 

All videos and footage may be sent to sawlutions@sawlutionsllc.com or uploaded in the CoHoS Portal.  

If you are sending the videos via email; the subject must have the name of the Contractor or business, the date the service was completed, the service provided, and the property address serviced.  Example email subject line: "Entry Video- Smith and Sons HVAC Repair/ 01/01/2023/ Cleaning AC Coils/ 123 Main Street Orlando, FL".

If the Contractor is sharing via a link, make sure the entire video is viewable and downloadable and please remove any time limit restrictions.
 

Complaint & Investigation Policies & Procedures

SawLutions has high standards of Contractors, Members, and services provided.  Any complaint is investigated promptly and thoroughly.  

SawLutions will notify the Contractor of the complaint received. 

The Contractor is given the opportunity to submit a statement, entry/exit videos and photos, and any additional information to support the Contractor statement. 

The Contractor must respond promptly and accurately to any communications received by SawLutions.

The Contractor may have access or use of SawLutions services suspended during an ongoing investigation. 

If the job or service in question has yet to be completed, the Contractor is prohibited from any contact with the Member or Member's property/ service address unless otherwise specified. 

SawLutions may work with the Member to remove any Contractor tools or personal property from the Members property/ service address.
All contracted work may be put on hold, depending on individual situations.
All information provided is evaluated and taken into consideration..

In any event a Member would have a valid complaint against a Contractor for the service provided, SawLutions has the right to withhold pay from the Contractor to compensate the Member, repair damages, have the work completed correctly, and the like.

In some situations, SawLutions may give the Contractor the opportunity to right the issue or complete the work correctly. 

If a Member complaint is not valid, it should be shown and proven in photo or video format.

The Member, Contractor or party at fault, may have access or use of SawLutions services suspended during the investigation or terminated.  

SawLutions will provide appropriate and timely response to the Member and Contractor upon completion of investigation.
If a Contractor is not at fault, we back you.

SawLutions is a contract-at-will company and does not guarantee contracts for any specific duration. If any Contractor has violated a contract or SawLutions policies or CoHoS Service Network
Terms, Conditions, & Policies, the contractor may forfeit business, earnings, or any deposits.
If the practices of a Contractor have been found unethical, formal complaints against professional licenses may be filed on behalf of the Member and/or SawLutions.

SawLutions retains the right to pursue loss or damages incurred due to negligence, misrepresentation or unethical practices.

Background Authorization, Disclosure, & Declaration

Background Disclosure and Authorization

In the interest of maintaining the safety and security of SawLutions, Members, Contractors, and property, SawLutions may request, order or obtain any number of consumer reports, background reports, investigative consumer reports, licensing, insurance, business records, or other information to provide background ("Background Report") on the Contractor or the Contractor's business in connection with the CoHoS Service Network, a contract, service agreement, and the like for contracting and service purposes.   
The Background Report may contain information concerning your character, general reputation, personal characteristics, mode of living, credit standing and the like. The types of information that may be ordered include but are not limited to:  Social Security number verification; criminal, public, educational and, as appropriate, driving record checks; verification of prior employment; social media accounts; reference, licensing and certification checks; credit reports; substance or drug testing results; and, if applicable, worker’s compensation claims. Workers’ compensation information shall only be requested in compliance with federal Americans with Disabilities Act and/or any other applicable federal, state or local laws.
Credit history shall only be requested when permitted by law and where such information is related to the duties and responsibilities of the Contractor.

The information may be obtained from private and public record sources, including but not limited to personal interviews with your associates, friends, and neighbors.  (An “investigative consumer report” is a background report that includes information from such personal interviews, except in California where that term means any background report that is not a credit report.)  The nature and scope of the most common form of investigative consumer report is an investigation into your education and/or employment history conducted by a Background Check Company or another outside organization.

The Contractor authorizes SawLutions to order any number of Background Reports, including investigative consumer reports at any time without asking the Contractor authorization as allowed by law.

The Contractor agrees that by joining the CoHoS Service Network, the Contractor gives authorization that is valid as a signed authorization and shall remain valid through the duration the Contractor has access to the CoHoS network.

Declaration

The Contractor certifies and agrees that the Contractor and any contractors or workers the Contractor is responsible for or will use during services to SawLutions and SawLutions' Members have a clear criminal background and history.

The Contractor agrees and certifies it is the Contractors duty and responsibility to notify SawLutions, in writing of any negative background information, history, criminal history, licensing issues, insurance claims, injuries, legal matters, litigation, credit standing, driving records, drug or substance abuse, discrepancies or any matter with a negative impact regarding the Contractor or Contractors reputation promptly and accurately,

Contractor Service Agreement

This Service agreement is made effective upon the Contractor joining the CoHoS Service Network or the Contractor providing any service through or for SawLutions by and between SawLutions and the Contractor WHEREAS SawLutions is a third party network connecting Members who desire to obtain the benefit of the services of the Contractor, and the Contractor desires to render such services on the terms and conditions set forth.

IN CONSIDERATION of the mutual agreements and covenants herein contained, the parties hereto agree as follows:

Independent Contractor

This Agreement shall not render the Contractor or any sub-contractors an employee, partner, or joint ventures with SawLutions for any purpose.  The Contractor is and will remain an independent contractor relationship to SawLutions.  SawLutions shall not be responsible for withholding taxes with respect to the Contractor’s compensation hereunder.  The Contractor shall have no claim against SawLutions hereunder or otherwise for vacation pay, sick leave, retirement benefits, social security, worker’s compensation, health, disability benefits, unemployment insurance benefits, or employee benefits of any kind. 

The Contractor is fully responsible for all related income/self-employment taxes and all other legal and financial requirements in relation to services provided.  In addition, the Contractor is solely responsible for any insurance, medical expenses, and other costs arising out of any bodily injury or property damage sustained while providing services.

SawLutions makes no guarantees and does not promise a minimum number of jobs, projects, services, and the like provided to the Contractor from or through SawLutions

As the Contractor, I fully understand that I have agreed to provide services, as an independent contractor, for or through SawLutions. As an independent contractor, I understand that I am responsible for all related income/self-employment taxes for fees received from SawLutions for services provided. In addition, I acknowledge that I am solely responsible for any medical or other costs arising out of any bodily injury or property damage sustained while providing services as an independent contractor. 
Information Disclosure:  
As an independent contractor, SawLutions cannot: pay or withhold taxes or benefit contributions; dictate a uniform, when you work, or how you work; or provide training, equipment, or tools.  An independent contractor uses industry standards with their own skills and equipment to carry out their contractual obligations.  Equipment, mileage and similar items and expenses are those of the Contractor and not of SawLutions.

Duties

The Contractor agrees that they will at all times faithfully, industriously, and to the best of their skills, experience and talents, perform all of the duties required of the job, as specified by Members and industry standard. In carrying out these duties and responsibilities, the Contractor shall conduct their business associated with SawLutions in accordance with all relevant SawLutions agreements, terms, policies, procedures, conditions, and regulations, including but not limited to the CoHoS Service Network Agreement Terms, Conditions, and Policies, both written and oral, as are announced by SawLutions from time to time.  

Licensing and Insurance

The Contractor is responsible for obtaining and maintaining their own licenses, insurance and workers comp/ workers comp exemption needs as required by SawLutions, local, state, and federal law, and other regulatory agencies.

As the Contractor, I certify that I have all proper expertise, licenses, coverages, insurance, rights, and local, state, and federal requirements to work in and provide services in any location I provide services in.

As the Contractor, I certify that I have adequate insurance coverage, including liability, workers comp and accident, for any injuries I may sustain while providing said services. I further covenant and agree that I will not sue SawLutions, its successors, assigns and licensees, agents, or Members for any claim for damages, for bodily injury or other, arising while performing services for the Company as an independent contractor. 
PRIVITIES
SawLutions has the right of access to all insurance, licenses, workers comp, liens, information and documentation regarding the Contractor.  The Contractor is obligated to share this information with SawLutions, and update SawLutions of any changes promptly and accurately.

Pay

The Contractor may be eligible to earn pay per service provided, job completed or a "day rate" pay.  For a job to be considered “completed”, the Contractor must complete the job to Member satisfaction and/or approval and send their Entry and Exit videos/ photos to SawLutions.  Please see Entry and Exit Videos for more information.  Supplemental pay contracts may be provided per service, job, or project.

Expenses

There are generally no reimbursed expenses.  SawLutions and its Members shall not be obligated to reimburse the Contractor for any expenses incurred in the performance of services pursuant to this Agreement unless agreed in writing by SawLutions in advance.  

Termination

SawLutions reserves the right to terminate this agreement at its discretion if services provided are not as agreed upon or not to industry standard. 

Confidentiality and Non-Competition Covenant

As a Contractor of SawLutions, you will have access to certain confidential information of SawLutions or its Members.  You may not disclose this information outside of SawLutions.  During the period that you render services to or through SawLutions, you agree to not engage in contract, employment, business, or activity that is in any way in direct competition with the current business or proposed business of SawLutions with SawLutions' Members and Member Network.  It is further acknowledged and agreed that following termination of the Contractor’s relationship with SawLutions for any reason, the Contractor shall not solicit business from current Members or Members who have retained SawLutions during the prior 24 month period.  

Liability Disclaimer

The jobs, projects, services, and information provided by SawLutions may contain inaccuracies or typographical errors.  Changes to scheduling, the scope of work, job descriptions or requirements are periodically added or changed by the Member or SawLutions.  SawLutions or Members may make adjustments, improvements, and/or changes at any time.  SawLutions is not liable for said changes.  SawLutions, its suppliers, and its Members make no representations about the suitability, reliability, availability, timeliness, and accuracy of the information, Platforms, products, materials, and/or services for any purpose.  To the maximum extent permitted by applicable law, all such information, products, materials, and/or services are provided “as is” without warranty, guarantee or condition of any kind.  To the maximum extent permittable by law, in no event shall the SawLutions and/or its Members be liable for any direct, indirect, punitive, incidental, accidental, special, consequential damages or any damages or injuries whatsoever, without limitation.

The Contractor responsibility and obligation to a project will have continuing liability. SawLutions is not liable for the Contractors negligence or misrepresentation.

Arbitration, Court, & Class Action Waiver

Settling Disputes
In the event the parties are not able to resolve any dispute between them arising out of or concerning this agreement or any other agreement or contract, or any provisions hereof, whether in contract, tort, or otherwise at law or in equity for damages or any other relief, then such dispute shall be resolved as follows:
The Contractor may resolve disputes only by final and binding arbitration pursuant to the Federal Arbitration Act, conducted by a single neutral arbitrator and administered by Arbitration chosen by SawLutions, in a location mutually agreed upon by the parties. The arbitrator’s award shall be final, and judgment may be entered upon it in any court having jurisdiction. If any legal or equitable action, proceeding or arbitration arises out of or concerns this agreement or any other agreement or contract, SawLutions shall be entitled to recover its costs and reasonable attorney’s fees. The Contractor agrees to arbitrate all disputes and claims regarding this agreement, or any disputes arising as a result of this agreement, any other agreement or contract, whether directly or indirectly. The Contractor agrees that the Federal Arbitration Act governs the interpretation and enforcement of this provision. The entire dispute, including the scope and enforceability of this arbitration provision shall be determined by the Arbitrator. This arbitration provision shall survive the termination of these Terms and Conditions.
SawLutions may choose to resolve any dispute SawLutions has against the Contractor by arbitration or through civil court.  The decision of that Arbitration or court shall be considered final.

Additional Terms

A.  Contractor agrees to follow all Federal and Local laws and regulations while engaged in providing services to or through SawLutions during the period of this agreement or any other agreement or contract.
B.  Contractor shall indemnify SawLutions and hold harmless against any Loss or Damage incurred by the SawLutions or its Members due to Contractor’s gross negligence or misrepresentation during the duration of this agreement.
C.  Contractor shall use the most ethical practices while engaging in any sales or other activity.  Contractor will abide by SawLutions Code of Ethics and Conduct.
D.  Contractor agrees to protect all confidential information and material including prospect data, sales data, and Member information belonging to or proceeding from SawLutions and shall take all reasonable care in making sure that such confidential material is not disbursed to anyone outside of SawLutions. 
E.  Contractor shall wear a mask and gloves while providing any in-home service, if any other person is present, only upon request of a Member.
F.  SawLutions reserves the right to require testing for alcohol and/ or drug use or other substance abuse.  A Contractor that has been proven to be under the influence of alcohol, drugs, and or illegal substances will be subject to termination, compensatory and/or punitive damages, and any other applicable licensing and/ or legal ramifications.  The Contractor is solely responsible for any results, consequences, or ramifications proceeding from alcohol, drug, or substance abuse that may include, but not limited to: compensatory and or punitive damages; insurance claims and or suits; complaints against the Contractor, the Contractors professional licensing, business, or with regulatory agencies; legal fees; and or any other expenses of any party directly affected as a result.
G.  All terms and content of this agreement or any other agreement or contract between the Contractor and SawLutions extends to any workers or sub-contractors the Contractor may hire or oversee for services.

H.  The Contractor agrees to have and maintain adequate insurance coverage, including workers comp and accident or comparable, for any injuries the Contractor, subcontractors, or individuals the Contractor is responsible for, may sustain while providing said services. The Contractor understands the Contractor can not sue SawLutions, its successors, assigns, licensees, agents, clients or Members for any claim for damages, bodily injury or other, arising while performing services for or through SawLutions.

I.  The Contractor agrees and certifies that the Contractor and any contractors or workers the Contractor may use to provide services to or through SawLutions and SawLutions' Members have a clear criminal background and history.
J.  The Contractor certifies and agrees that the Contractor and any contractors or workers the Contractor may use to provide services to or through SawLutions and SawLutions' Members will be of sound mind, sober and not under the influence of any mind altering substances.

K.  The Contractor certifies and agrees that the Contractor and any contractors or workers the Contractor may use, has all proper expertise, licenses, coverages, insurance, rights, and local, state and federal requirements to work and provide services.

L.  The Contractor certifies and agrees that the Contractor is of sane mind, not suffering from any disability, and has read the above carefully with full understanding.

Integration

This agreement contains the entire agreement between the parties, superseding in all respects to all prior oral or written agreements or understandings pertaining to the agreement of the Contractor by SawLutions and shall only be amended by SawLutions through written instrument.

Authorization to Work

Please note that because of SawLutions' regulations adopted in the Immigration Reform and Control Act of 1986, you will need to present documentation demonstrating that you have authorization to work in the United States. 

As the Contractor, I certify that I and any subcontractor or worker I use have all proper expertise, licenses, coverages, insurance, rights, and local, state, and federal requirements to work in and provide services in any location the Contractor  provides services in.

Severability of Contract

The parties hereto agree that in the event any article or part thereof of this agreement is held to be unenforceable or invalid, then said article or part shall be struck, and all remaining provisions shall remain in full force and effect.

Choice of Law

This agreement shall be governed, interpreted, and construed in accordance with the laws of the State of Florida.

Acceptance

By access or use of SawLutions resources, Platforms, or use of the CoHoS Service Network, or providing services to or through SawLutions, the Contractor gives express acceptance of and compliance with these Terms.  

Release and Waiver of Liability

The Contractor explicitly understands and agrees that SawLutions will not be liable for any direct, indirect, incidental, punitive, compensatory, consequential, irreproachable, or any other damages (collectively, “Damages”), resulting from: the use of or inability to use SawLutions’ Platforms or services; the cost of materials, goods, services anticipated or acquired or provided using SawLutions’ Platforms or services; misuse, access to or alterations of information or content; content accessed, received, submitted, communicated, or otherwise conveyed through SawLutions Platforms or services; conduct or statements of any Member or Contractor or a third party through or as a result of SawLutions Platforms or services; or any matter relating to SawLutions, its Platforms, Members, or services.  


The Contractor hereby releases SawLutions, SawLutions Platforms, SawLutions services, and SawLutions Members from any and all Damages.  The Contractor agrees to indemnify and hold harmless SawLutions, SawLutions Platforms, SawLutions services, and SawLutions Members of any Damages.  The Contractor is solely responsible for any Damages the Contractor may suffer or any Damages the Contractor may cause.


The Contractor explicitly understands and agrees that SawLutions may contract with or use third parties provide use of Platforms, services, and or payment gateways and card processors.  The Contractor understands and agrees that any third parties affiliated with or used by SawLutions shall not be liable for any Damages.  The Contractor hereby releases any and all third parties affiliated with or used by SawLutions from any and all Damages the Contractor may suffer.  The Contractor agrees to indemnify and hold harmless any and all third parties affiliated with or used by SawLutions of any and all Damages.


The Contractor or any party claiming on the Contractor's behalf releases SawLutions, its affiliates, successors, officers, agents, employees, Contractors, Members, representatives, partners, and anyone claiming through them (collectively, “Released Party”) in their individual, and or corporate capacity from any and all claims, liabilities, obligations, promises, agreements, disputes, demands, injuries, Damages, causes of action of any nature of any kind, known or unknown, which the Contractor has or has ever had or may be in the future have against the Released Parties arising out of or relating to SawLutions, its Members, Platforms, or services.  This release shall not be in any way construed as an admission of guilt by SawLutions and other Released Parties that it has acted wrongfully with respect to the Contractor or any other person, that it admits liability, or responsibility at any time for any purpose, or that the Contractor has any rights whatsoever against the Released Parties.
 

This release shall be binding to the fullest extent permitted by law upon the parties, its heirs, administrators, personal representatives, executors, successors and assigns, indefinitely.  The Contractor has the authority to release any claims and will not assign or transfer any claims to any other party.  The provisions of this release are severable. If any provision is held to be invalid or unenforceable, it shall not affect the validity or enforceability of any other provision. This release constitutes the entire agreement between the parties and supersedes any and all prior oral or written agreements or understandings between the parties.  It is at SawLutions sole discretion this release may be altered, amended, or modified.

Our company is hosted on a third-party platform. This provides us with the online platform that allows us to sell our products and services to you. All direct payment gateways offered through this third-party platform and used by our company adhere to the standards set by PCI-DSS as managed by the PCI Security Standards Council, which is a joint effort of brands like Visa, MasterCard, American Express and Discover. PCI-DSS requirements help ensure the secure handling of credit card information by our store and its service providers.
